Our Terms
How we work together, in plain English. Last updated 8 October 2026.
1. About these terms
These terms apply when you use koaladigital.com.au, order or use any of our services, or give us access to your accounts. They're between you and KoalaDigital Pty Ltd (ABN 39 614 832 450). If a written quote or proposal we've agreed with you says something different, the quote wins for that work. Nothing in these terms takes away your rights under the Australian Consumer Law (or, in New Zealand, the Consumer Guarantees Act).
2. Our services
- Professional Website Review: a written review of your website and what we'd change.
- Website Support & Integration: fixes, improvements and connections to your website and online systems.
- SAM Engine: we build your Focus Funnel, booking forms and dashboard, set up and run your Google and Meta (Facebook and Instagram) ads, post to your social pages, and report monthly.
- Senior Software Engineer On Demand: engineering for software teams, by agreed time or scope.
What's included in each piece of work is what's described on our site for that service, or in your quote.
3. Prices and payment
- Prices are in Australian dollars and include GST, unless we say otherwise.
- SAM Engine: the build fee is paid up front, when you start your engine. We build everything first: you review your Focus Funnel on a private link, and your Google Ads campaign waits, spending nothing. Engine On is the monthly subscription that keeps your engine running (your Focus Funnel live, your Dashboard, monitoring and a monthly report); it starts when you turn your engine on, and you can cancel it any time and it stops at the end of the month you've paid for. Tune-ups and add-ons are optional and charged when you order them.
- Your advertising budget (“fuel”) is paid by you directly to Google and Meta, from your own card in your own ad accounts. We don't hold or charge your ad spend, and Google's and Meta's charges are between you and them.
- Other work is charged as quoted. Invoices are due when they say; we may pause work while an invoice is overdue.
4. Results
We do careful, professional work and tell you honestly how it's going, but we can't promise a particular number of visitors, enquiries, bookings or sales, a search ranking, or that Google or Meta will approve or keep running a particular ad. Results depend on your market, your offer, your budget and the platforms themselves.
5. What we need from you
- Accurate information about your business, and quick answers when we ask.
- Content you're allowed to use: you confirm that the photos, logos, text and reviews you give us are yours or you have permission to use them, and that what you ask us to advertise or post is true and lawful.
- Keeping to the rules of the platforms we use for you, including Google's and Meta's advertising policies, and the law (for example the Australian Consumer Law and the Spam Act).
- Telling your own customers how you use their information, where our sites or forms collect it for you (see our privacy policy).
6. Access to your accounts
We never ask for your passwords. You give our business access through the platforms' own sharing tools (for example, sharing your ad account or Page with KoalaDigital in Meta Business settings, or linking your Google Ads account to our manager account). We use that access only for the work you've asked for, and you can remove it at any time. If you remove it, we can no longer run or report on that account.
7. Ads and posts need your approval
We don't launch new ads or publish posts on your behalf until you've approved them, or given us a standing approval for a kind of post (for example, a weekly post about a new review). Budget changes are made when you ask for them. You can ask us to change or remove anything we've published for you.
8. Who owns what
- Your business name, logo, photos, content and data stay yours.
- Once paid for, the content and design we create specifically for you are yours to use for your business. Your ad accounts, Pages and their history are yours.
- We keep ownership of our own tools, templates, code, systems and know-how (including the SAM Engine platform), and give you the right to use them for your business while you're using our services. Parts that run on our platform, such as your Focus Funnel and Dashboard, work while Engine On is active.
- We'll only show your work in our portfolio with your permission.
9. Confidentiality and privacy
We keep your business information confidential and use it only to do your work. How we handle personal information, including data from Google and Meta, is in our privacy policy.
10. Other companies' services
Our work relies on services run by others, such as Google, Meta, Square, hosting providers and email services. Their own terms apply to your use of them. We're not responsible for their outages, changes, decisions (such as ad rejections or account restrictions) or charges, but we'll help you work through them.
11. Refunds
- If you cancel before we've started, we'll refund what you've paid for that work in full.
- If we can't deliver something we agreed to, we'll refund what you paid for the part we didn't deliver.
- You can cancel Engine On any time; it stops at the end of the paid month, and that month isn't refunded.
- You always keep your rights to a refund, repair or replacement under the Australian Consumer Law.
12. Our responsibility
Our services come with guarantees under the Australian Consumer Law that can't be excluded. Apart from those, and as far as the law allows: if something we did goes wrong, our responsibility is to fix it or re-do the work, or refund what you paid us for it, and our total liability is limited to the fees you paid us for that service in the 12 months before the problem. We're not liable for indirect losses, such as lost profits or lost business, or for losses caused by other companies' services (section 10).
13. Ending our work together
- You can stop at any time: cancel Engine On and remove our access to your accounts.
- We can stop working with you if invoices go unpaid, if we're asked to do something unlawful or against a platform's rules, or after giving you reasonable notice.
- When we stop, we'll hand over your content and data on request, and then delete it as our privacy policy describes.
14. Changes, law and contact
We may update these terms; the date at the top shows the latest version, and changes don't affect work already agreed. These terms are governed by the law of New South Wales, Australia.
